2.1 These General Terms and Conditions shall apply to all offers, quotations and agreements between JouwWebHulp.nl and the Customer.

2.2 Deviations from these General Terms and Conditions are valid only if agreed in writing.

3.1 JouwWebHulp.nl shall not be liable for any problems occurring after termination of JouwWebHulp.nl, including problems caused by updates to WordPress or other technical platforms. The Customer accepts that after termination of its service, JouwWebHulp.nl shall have no responsibility in this regard.

3.2 JouwWebHulp.nl shall also not be liable for any problems within the website caused by acts or omissions of the Customer after the order has been fully completed. Should the Customer require assistance in such cases, JouwWebHulp.nl may assist at an additional cost, depending on the situation.

4.1 Upon acceptance of the proposal by the Customer, JouwWebHulp.nl shall be entitled to invoice 50% of the invoice amount prior to the execution of the assignment. Only upon receipt of this payment shall JouwWebHulp.nl commence the agreed work.

4.2 Payment of invoices shall be made within 14 days of invoice date, unless otherwise agreed in writing.

4.3 In the event of late payment the Customer shall be in default by operation of law and JouwWebHulp.nl shall be entitled to charge statutory interest and collection costs.

5.1 All intellectual property rights to the works developed by JouwWebHulp.nl, including websites, web shops and graphic designs, shall remain the property of JouwWebHulp.nl unless otherwise agreed in writing.

5.2 Copying, duplicating or reproducing products developed by JouwWebHulp.nl is not permitted without JouwWebHulp.nl's prior written consent.

6.1 All legal relations to which JouwWebHulp.nl is a party shall be governed exclusively by Dutch law.

6.2 Disputes between JouwWebHulp.nl and the Customer shall exclusively be submitted to the competent court in the district where JouwWebHulp.nl has its registered office.

7.1 JouwWebHulp.nl and the Customer undertake to keep confidential all confidential information obtained from each other or from other sources within the framework of the Order.

7.2 Information is considered confidential if it has been communicated by the other party or results from the nature of the information.

8.1 In the event of force majeure JouwWebHulp.nl shall not be held to fulfil its obligations towards the Customer.

8.2 Force majeure shall mean any circumstance beyond the will and control of JouwWebHulp.nl, as a result of which fulfillment of its obligations is prevented in whole or in part or as a result of which fulfillment cannot reasonably be required of JouwWebHulp.nl.

9.1 If the Customer wishes to terminate the Order before the work has been completed, the Customer shall notify JouwWebHulp.nl in writing.

9.2 In the event of termination by the Customer prior to completion of the work, JouwWebHulp.nl shall be entitled to compensation for the work carried out up to that point as well as the expenses incurred and any loss of profit suffered by JouwWebHulp.nl.

10.1 JouwWebHulp.nl reserves the right to use the services of third parties if necessary for the execution of the Order.

10.2 JouwWebHulp.nl shall exercise due care in selecting these third parties and shall endeavor to promote the best interests of the Customer.

11.1 In case JouwWebHulp.nl develops a webshop for the Customer, JouwWebHulp.nl shall comply with the legal obligation to inform the Customer about the possibility of online dispute resolution.

11.2 JouwWebHulp.nl shall refer the Customer to the European online dispute resolution platform (ODR platform) via the website: http://ec.europa.eu/odr.

12.1 Changes or additions to the Order shall be agreed upon in writing between JouwWebHulp.nl and the Customer.

12.2 If an amendment or supplement leads to additional costs and/or delays in the execution of the Order, JouwWebHulp.nl shall inform the Customer of this in a timely manner.

13.1 JouwWebHulp.nl reserves the right to change or supplement these Terms and Conditions.

13.2 Amendments to the General Terms and Conditions shall take effect upon written notice or after the amended General Terms and Conditions have been declared applicable to new agreements.
